ITEM 1.01 - Entry Into A Material Definitive Agreement

On July 28, 2005 the Registrant’s Compensation Committee and Board of Directors approved a salary increase for Kenneth Corsello from $170,000 to $180,000 effective August 1, 2005. Mr. Corsello is the Registrant’s Chief Credit Officer.
