Item 7.01          Regulation FD Disclosure

On June 16, 2010, Prudential Bancorp, Inc. of Pennsylvania (the "Company") issued a press release announcing the declaration by the Board of Directors on June 16, 2010, of a quarterly cash dividend of $0.05 per share of common stock.  The dividend is payable on July 30, 2010 to shareholders of record as of July 16, 2010.

In addition, the Company also announced that Prudential Mutual Holding Company (the "MHC"), the Company's majority stockholder, approved the purchase of an additional 50,000 shares of the Company's common stock, which purchases will be made by the MHC from time to time in open market or privately-negotiated transactions or otherwise, as, in the opinion of the MHC's management, market  conditions warrant.
