Item 8.01. Other Events
 
     Effective February 24, 2010, Bottomline Technologies (de), Inc. (“Bottomline” or “the Company”) acquired certain customer contracts from Bank of America, N.A. for a cash payment of $1,000,000 plus additional cash consideration to be paid at the time such customers are migrated to the Company’s PayMode platform. Bottomline expects the customer migrations to occur in late 2010.
