The following information is furnished pursuant to both Item 2.02 and Item 7.01:
 
On December 17, 2014, Worthington Industries, Inc. (the “Registrant”) issued a news release reporting results for the three- and six-month periods ended November 30, 2014.  A copy of the news release (the “Release”) is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.  The Release contains non-GAAP financial measures reflecting adjustments to the Registrant’s net earnings attributable to controlling interest and earnings per diluted share attributable to controlling interest for the quarterly periods ended November 30, 2014 and 2013.  A reconciliation between the relevant GAAP financial measures and the non-GAAP financial measures is contained in the Release.  As used herein, “GAAP” refers to accounting principles generally accepted in the United States of America.
