(e) On August 22, 2007, pursuant to the Key Energy Group, Inc. 1997 Incentive Plan, as amended (the Plan), the Compensation Committee of the Board of Directors (the Committee) of Key Energy Services, Inc. (the Company) granted stock appreciation rights to all of our executive officers, including the following:

Each stock appreciation right (SAR) award granted has a ten-year term from the date of grant and, subject to the executive officers employment with the Company on each such anniversary, vests in equal annual installments on the first, second and third anniversaries of the date of grant. The per share exercise price of each SAR is $14.32, which the Committee has determined to be the fair market value of a share of the Companys common stock on the date of grant. An SAR recipient will not actually pay the exercise price to exercise an SAR. Upon the exercise of an SAR, the recipient will receive the spread between the exercise price and the fair market value of a share of the Companys common stock on the date of exercise multiplied by the number of shares of common stock for which the SAR was exercised. All payments will be made in shares of the Companys common stock. Prior to exercise, the SAR does not entitle the recipient to receive any shares of the Companys common stock and does not provide the recipient with any voting or other stockholder rights. Each grant was made pursuant to the Form of Stock Appreciation Right Agreement, which is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
