Item 5.07. Submission of Matters to a Vote of Security Holders.
On March 12, 2015, Corium International, Inc. (the Company) held its annual meeting of stockholders (the Annual Meeting). The stockholders of the Company voted in person or by proxy at the Annual Meeting on the following proposals, each of which is described in more detail in the Companys definitive proxy statement, filed with the Securities and Exchange Commission on January 21, 2015:
1. To elect three Class I directors to serve as members of our board of directors until the third annual meeting of stockholders following the Annual Meeting and until his successor has been elected and qualified or until his earlier resignation or removal.
2. To ratify the appointment of Deloitte & Touche LLP as the Companys independent registered public accounting firm for the fiscal year ending September 30, 2015.
3. To re-approve the Internal Revenue Code Section 162(m) limits of our 2014 Equity Incentive Plan to preserve our ability to receive corporate income tax deductions that may become available pursuant to Section 162(m).
The voting results for each of these proposals are detailed below.
