Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 22, 2015, Susan M. Molineaux, Ph.D. was appointed by the Board to serve as a Class II member of the Board of Directors of Theravance Biopharma, Inc. (Theravance Biopharma or the Company). Dr. Molineaux will serve on the Science and Technology Committee of the Board. The Theravance Biopharma Board of Directors has determined that Dr. Molineaux is independent within the meaning of the independent director standards of the Securities and Exchange Commission and Nasdaq Stock Market, Inc. In connection with her appointment to the Board, Dr. Molineaux will be entitled to receive cash and equity compensation as described in Theravance Biopharmas definitive proxy statement filed with the Securities and Exchange Commission on March 17, 2015.
