Item 1.01 Entry into a Material Definitive Agreement.
On June 24, 2015, CoreSite, L.P. (the Operating Partnership), the operating partnership of CoreSite Realty Corporation (the Company), and certain subsidiary co-borrowers entered into a third amended and restated unsecured credit facility (the Credit Agreement) with a group of lenders for which KeyBank National Association acts as the administrative agent. The Credit Agreement amends the Operating Partnerships second amended and restated unsecured revolving credit facility, dated January 3, 2013 (as amended, the Prior Facility). The Operating Partnership acts as the parent borrower, and its subsidiaries that own or lease real estate properties are co-borrowers under the Credit Agreement, with the Company guaranteeing the facility on an unsecured basis. In addition, the obligations of each of the Operating Partnership and the co-borrowers under the Credit Agreement are joint and several.
The Credit Agreement increases the commitment from the Prior Facility of $405.0 million to $500.0 million, providing for a $350.0 million revolving credit facility and a $150.0 million term loan facility. The revolving credit facility has a four-year primary term expiring in June 2019, with a one-year extension option, while the term loan facility has a five-year term maturing in June 2020. The exercise of the extension option under the revolving credit facility is subject to the payment of an extension fee equal to 10 basis points of the aggregate revolving credit commitments of the revolving credit lenders under the Credit Agreement at initial maturity and certain other customary conditions.
The net proceeds from the $150.0 million term loan will be used to partially pay down the current revolving credit facility balance.
Under the Credit Agreement, the Operating Partnership may elect to have borrowings bear interest at a rate per annum, amended from the Prior Facility, equal to (i) LIBOR plus 155 basis points to 225 basis points under the revolving credit facility, and 150 basis points to 220 basis points under the term loan facility, or (ii) a base rate plus 55 basis points to 125 basis points under the revolving credit facility, and 50 basis points to 120 basis points under the term loan facility, each depending on the Operating Partnerships leverage ratio. The Operating Partnership elected to swap the variable interest rate associated with $75 million, or 50% of the principal amount of the term loan facility, to a fixed rate of approximately 2.95%.
The Credit Agreement contains an accordion feature, which allows the Operating Partnership to increase the total commitment by $200.0 million, to $700.0 million, under specified circumstances, with such increase being allocated to the revolving credit facility and/or the term loan facility in such fashion as the borrowers may designate.
The Credit Agreement is in addition to, and does not replace, the unsecured Term Loan Agreement dated as of January 31, 2014, by and among the Operating Partnership, the subsidiary borrowers, Royal Bank of Canada, as administrative agent, and the lenders party thereto (the Term Loan Agreement).
On June 25, 2015, the Term Loan Agreement was amended by that certain First Amendment to Term Loan Agreement (the Term Loan Amendment) in order to make certain changes to conform to the provisions of the Credit Agreement.
The total amount available for borrowings under the Credit Agreement will be subject to the lesser of (i) an amount that, with all other unsecured debt, does not exceed the value of the eligible real estate assets as described in the Credit Agreement and the Term Loan Agreement and (ii) a minimum unsecured debt yield. The Operating Partnerships ability to borrow under the Credit Agreement is subject to ongoing compliance with customary restrictive covenants, including maintenance of certain financial requirements.
