(1) Pursuant to Rule 416(a) promulgated under the Securities Act of 1933, as amended (the Securities Act), this Registration Statement shall also cover any additional shares of the Registrants Common Stock that become issuable under the 2010 Equity Incentive Plan, the 2010 Employee Stock Purchase Plan and the 2011 Inducement Award Plan set forth herein by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration that increases the number of outstanding shares of the Registrants Common Stock.

(5) Estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457(h) and Rule 457(c) promulgated under the Securities Act. The offering price per share and aggregate offering price are based on the average of the high ($7.15) and low ($6.66) sales prices of the Registrants Common Stock on March 7, 2018, as reported on the New York Stock Exchange.
EXPLANATORY NOTE
This Registration Statement on Form S-8 is being filed for the purpose of registering an additional (a) 1,547,667 shares of the Registrants Common Stock reserved for issuance under the Registrants 2010 Equity Incentive Plan, (b) 600,000 shares of the Registrants Common Stock reserved for issuance under the Registrants 2010 Employee Stock Purchase Plan and (c) 400,000 shares of the Registrants Common Stock reserved for issuance under the Registrants 2011 Inducement Award Plan.
