Item 1.01.   Entry into a Material Definitive
Agreement.

 

               On
June 8, 2011 Freestone Resources, Inc. (“Freestone”) entered into a Master Agreement (the “Agreement”)
with Hydrex Technologies, LLC., a Texas limited liability company (“Hydrex”). The Agreement
provides Hydrex with the license rights to specific territories in the United States and the Republic of Trinidad and Tobago to
manufacture, own and operate thirty Oil Recovery Units (ORU) using Freestone’s proprietary oil separation technology.
A copy of the Agreement is filed herewith as an exhibit to this Form 8-K Current Report. See Item 9 below.
