Item 2.02 - Results of Operations and Financial Condition.

On October 17, 2007, Rurban Financial Corp. (the “Company”) issued a news release reporting results for the third quarter ended September 30, 2007. A copy of the news release is furnished as Exhibit 99.1 and is incorporated herein by reference.

On October 17, 2007, the Company issued a news release announcing that its Board of Directors has declared a quarterly shareholder dividend of $0.07 per share. The dividend is payable on November 16, 2007 to all shareholders of record on November 2, 2007. A copy of the news release is furnished as Exhibit 99.2 and is incorporated herein by reference.
