Item 5.02(d). Election of Directors.

On June 19, 2008, FuelCell Energy, Inc. (“FuelCell”) elected J.H. England as a member of its Board of Directors Mr. England is a director of Enbridge, Inc., which holds preferred shares of FuelCell Energy, Ltd., a subsidiary of FuelCell.

On June 23, 2008, FuelCell issued a press release announcing Mr. England’s election. A copy of FuelCell’s press release is attached to this report as Exhibit 99.1 and incorporated herein by reference.
