Item 2.02. Results of Operations and Financial Condition.
On January 31, 2006, Altria Group, Inc. issued an earnings press release
announcing its financial results for the quarter ended December 31, 2005 and the
fiscal year ended December 31, 2005. A copy of the earnings press release is
attached as Exhibit 99.1 to this Current Report on Form 8-K.
