Item 2.02.   Results of Operations and Financial Condition.

Ultralife Batteries, Inc. (the “Company”) announced that, based on a review of its progress for the second quarter ending June 28, the company expects to report revenue in excess of $75 million.

The Company’s press release is attached as Exhibit 99.1 to this Form 8-K.
