As of March 9, 2004, 45.4 million shares of the Registrants common stock, par value $0.001 per share (Common Stock), were outstanding. The aggregate market value of shares of Common Stock held by non-affiliates, based upon the closing sale price of the stock on the New York Stock Exchange on March 9, 2004, was approximately $915 million. The Registrants Proxy Statement for the Annual Meeting of Stockholders, scheduled to be held on April 21, 2004, is incorporated by reference into Part III of this Annual Report on Form 10-K.
The Companys Annual Report of Form 10-K for the year ended December 31, 2003 (the Original Filing) is hereby amended to renumber exhibits 32.1 and 32.2 to the Original Filing as exhibits 31.1 and 31.2, respectively, and to add exhibits 32.1 and 32.2.
