On November 3, 2005, the registrant issued a press release announcing its financial results for the quarter ended September 30, 2005. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K. References to the registrants Web site in the press release do not incorporate by reference the information on the registrants Web site into this Current Report on Form 8-K and the registrant disclaims any such incorporation by reference.

On November 2, 2005, the registrants board of directors authorized a stock repurchase program of up to an aggregate of 5 million shares of the registrants common stock, currently representing approximately 9.0 percent of common shares outstanding. The registrant expects to fund these repurchases with excess corporate liquidity. Stock repurchases may be made on the open market, through block trades or in privately negotiated transactions in accordance with applicable law. The number of shares to be purchased and the timing of the purchases will be based upon the level of the registrants cash balances, general business conditions and other factors including alternative investment opportunities. The registrant reserves the right to terminate, reduce or increase the size of the stock repurchase program at any time.
