Item 1.01. Entry into a Material Definitive Agreement.
On April 7, 2006, Hercules Offshore, Inc. (the Company), entered into a separate indemnification agreement, each in the form attached as Exhibit 10.1 hereto (the Indemnification Agreements), with Randall D. Stilley, the Companys Chief Executive Officer and President and a director, and each of the Companys non-employee directors, Thomas R. Bates, Jr., Thomas J. Madonna, F. Gardner Parker, V. Frank Pottow, John T. Reynolds and Steven A. Webster (each an Indemnitee).
Each of the Indemnification Agreements provides that the Company will indemnify the Indemnitee against, and advance certain expenses relating to, liabilities incurred in the performance of such Indemnitees duties on behalf of the Company to the fullest extent permitted under the Delaware General Corporation Law (DGCL) and the Bylaws of the Company.
