Item 5.02

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On March 15, 2007, David Cade resigned as a director of Lithium Technology Corporation (the “Company”). Mr. Cade recently accepted a senior executive position with a company in the alternative energy arena and felt it was in the best interest of all parties to resign from the Board of the Company at this time. Mr. Cade served as a director of the Company since August 1997 and served in various executive positions with the Company from August 1994 to December 2004.
