Item 8.01. Other Events.
On June 7, 2007, management of Renasant Corporation (Renasant) made a presentation at the Stephens Inc. Spring Investor Conference. The presentation was accompanied by a series of electronic slides that included information pertaining to Renasant Corporation and its proposed acquisition of Capital Bancorp, Inc. (Capital). A copy of the slides are attached as exhibit 99.1 to this Form 8-K.
Additional Information About the Merger:
In connection with the proposed merger, Renasant has filed a Registration Statement on Form S-4 (Registration No. 333- 141449) with the Securities and Exchange Commission (the SEC) containing a proxy statement/prospectus relating to the merger, which Registration Statement was declared effective by the SEC as of May 17, 2007. Commencing May 24, 2007, the proxy statement/prospectus was mailed to shareholders of Capital as of the May 14, 2007 record date.
