On January 29, 2010, the Board of Directors of Lumber Liquidators Holdings, Inc. (the “Company”) amended and restated the Company’s Annual Bonus Plan for Executive Management (the “Bonus Plan”). The revisions to the Bonus Plan include the addition of certain repayment provisions, or “claw backs.” Under those provisions, the Company’s Compensation Committee may require a participant to repay all or any portion of an award issued under the Bonus Plan if the Compensation Committee determines that the award was earned based on inaccurate financial objectives, performance data, metrics or other information or that the participant willfully engaged in conduct harmful to the Company.
The full text of the amended and restated Bonus Plan is attached as Exhibit 10.1 and is incorporated by reference into this Item 5.02.
