(1) | This registration statement covers 1,600,000 additional shares of the Registrants common stock, par value $0.01 (the Common Stock) available for issuance under the SunCoke Energy, Inc. Long-Term Performance Enhancement Plan (LTPEP). Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the Securities Act), this registration statement also shall cover any additional shares of Common Stock that become issuable under the LTPEP by reason of any stock dividend, stock split, recapitalization or similar transaction effected without the registrants receipt of consideration which would increase the number of outstanding shares of Common Stock. |

EXPLANATORY NOTE
Incorporation by Reference. This Registration Statement on Form S-8 is filed pursuant to General Instruction E to Form S-8. The contents of the Registration Statement on Form S-8 (File No. 333-176403) filed by the Registrant with the Securities and Exchange Commission on August 19, 2011 are incorporated herein by reference and made a part hereof.
Registration of Additional Shares of Common Stock Under the Plan. This Registration Statement on Form S-8 is filed by the Registrant to register an additional 1,600,000 shares of Common Stock relating to the Registrants equity awards resulting from the adjustment of Sunoco, Inc. (Sunoco) equity awards in connection with Sunocos pro-rata distribution on January 17, 2012 of a special stock dividend of 56,660,000 shares of the Registrants Common Stock (the Distribution). Sunoco stockholders received 0.53046456 of a share of the Registrants Common Stock for every share of common stock, par value $1.00 per share, of Sunoco held as of the close of business on the record date of the Distribution.
