Item 5.02(b)

As previously announced, Cynthia A. Powell has been appointed Chief Risk Officer of State Auto Financial Corporation. In connection therewith, on August 10, 2012, Ms. Powell resigned her position as Chief Accounting Officer of State Auto Financial Corporation.
