On December 15, 2015, Global Payments, Inc. (Global Payments) and Heartland Payment Systems, Inc. (Heartland) issued a joint press release announcing that they have entered into a definitive agreement for Global Payments to acquire Heartland. The full text of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
