Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c), (e) On October 1, 2016, INC Research Holdings, Inc. (the “Company”) appointed Michael Gibertini, PhD, who already was an executive officer, to Chief Operating Officer of the Company.

The Company did not amend Dr. Gibertini’s current employment agreement in connection with his appointment. Dr. Gibertini’s Executive Service Agreement, a summary of such agreement, and Dr. Gibertini’s biographical information are included in the Company’s Form 10-K for the fiscal year ended December 31, 2015 filed with the U.S. Securities and Exchange Commission on February 25, 2016, as amended on March 14, 2016, and are incorporated herein by reference.

There are no related party transactions between Dr. Gibertini and the Company that require disclosure in this Form 8-K under Regulation S-K Item 404(a). A copy of the press release regarding the above matters is attached hereto as Exhibit 99.1.
