Item 1.01. | Entry into a Material Agreement. |
On December 7, 2016, EPR Properties (the Company) and certain of its subsidiaries, as guarantors, entered into an underwriting agreement (the Underwriting Agreement) with Citigroup Global Markets Inc., J.P. Morgan Securities LLC and RBC Capital Markets, LLC, for themselves and as representatives of the several underwriters named therein, in connection with the Companys issuance and sale of $450,000,000 aggregate principal amount of 4.750% Senior Notes due 2026. The Company has filed a prospectus supplement in connection with the offering, dated December 7, 2016, and filed with the Securities and Exchange Commission on December 8, 2016.
The Underwriting Agreement contains customary representations, warranties and covenants and includes the terms and conditions for the sale of the notes, indemnification and contribution obligations and other terms and conditions customary in agreements of this type.
