On June 6, 2018, Cowen Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Morgan Stanley & Co. LLC and UBS Securities LLC, as representatives of the several underwriters named therein (collectively, the Underwriters), in connection with the offer and sale of $90.0 million aggregate principal amount of the Companys 7.75% Senior Notes due 2033 (the 2033 Notes). The Company also granted the Underwriters a 30-day option to purchase up to an additional $10.0 million principal amount of the Companys 2033 Notes to cover over-allotments, if any (the Additional Notes). On June 13, 2018, the Underwriters notified the Company that they have exercised their option to purchase the Additional Notes in full, at the public offering price, plus accrued interest, less the underwriting discount. On June 18, 2018, the Company issued a press release announcing that it had closed its public offering of $10.0 million aggregate principal amount of the Additional Notes. A copy of this press release is furnished as Exhibit 99.1 hereto and incorporated by reference herein.
