Item 1.02. Termination of a Material Definitive Agreement.

The Company currently is a party to a revolving Credit Agreement with a consortium of ten banks, for which PNC Bank, NA, serves as agent. The Agreement, dated September 1, 2000, provides up to $175 million in credit facilities until August 31, 2008 and an additional $175 million in credit facilities until June 29, 2005.

On March 31, 2005, the Company cancelled the portion of the credit facility expiring on June 29, 2005. This action was taken due to the strong cash position of the Company resulting from the sale of the Company’s automotive operations, Cooper-Standard Automotive, in December, 2004.
