Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 27, 2005, the Board of Directors of SCM Microsystems, Inc. (SCM) voted to eliminate the position of Chief Operating Officer and to remove Ingo Zankel from the position of Chief Operating Officer and as an executive officer of SCM, effective December 31, 2005.

Going forward, the company expects that its product management, engineering, sales and supply chain functions will be overseen by its chief executive officer, Robert Schneider.
