Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 19, 2006, Core Molding Technologies announced two organizational development promotions.

Kevin L. Barnett was promoted to the position of Group Vice President on January 3, 2006. Mr. Barnett, age 43, was previously the Company’s Vice President, Business Development, Vice President, Manager Columbus Operations and Vice President, Treasurer, Secretary and Chief Financial Officer since joining the Company in 1997.

Stephen J. Klestinec was promoted to the position of Vice President Operations on January 3, 2006. Mr. Klestinec, age 56, was previously the Company’s Vice President, Sales and Marketing since joining the Company in 1998.
