Effective March 5, 2006, Frank J. Coll resigned from the Board of Directors of Smart Online, Inc. (the "Registrant") because of the time commitment required to adequately perform his duties as a director. Mr. Coll's decision to resign is not a result of any disagreement with the Registrant, nor any matter relating to the Registrant's operations, policies or practices. The resignation letter of Mr. Coll is set forth as an Exhibit and is incorporated herein by reference.
