Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective November 3, 2006, Andrew Vought has resigned as a member of the Board of Directors of SCM Microsystems, Inc. (the "Company"). Mr. Vought's resignation as a Class II director did not involve any disagreements relating to the Company's operations, policies or practices. There are no plans at this time to fill the vacancy resulting from Mr. Vought's resignation from the Board of Directors.
