On January 20, 2010, the Board of Directors of Online Resources Corporation voted to elect John C. Dorman and Barry D. Wessler co-Chairmen of the Board, replacing Matthew P. Lawlor. Matthew P. Lawlor resigned as a director of Online Resources Corporation on January 20, 2010.

In an unrelated matter, on January 20, 2010 Joseph J. Spalluto resigned as a director of Online Resources Corporation.
