This Amendment No. 2 to Schedule 13D (this "Amendment") is being filed by Liberate Technologies ("Liberate") pursuant to Rule 13d-2(a) of the Rules and Regulations promulgated under the Securities and Exchange Act of 1934, as amended, to amend and supplement the statement on Schedule 13D filed on July 10, 2006 as amended by Amendment No.1 thereto filed on August 15, 2006 (as so amended, the "Schedule 13D"), with respect to the common stock, par value $0.001 per share (the "Common Stock"), of Autobytel, Inc., a Delaware corporation (the "Issuer"). Capitalized terms used in this Amendment and not otherwise defined herein have the meanings set forth in the Schedule 13D. The information set forth in response to each separate Item shall be deemed to be a response to all Items where such information is relevant. Item 4. Purpose of Transaction. Item 4 is hereby amended to add the following: On September 7, 2006, Liberate delivered a letter (the "September 7 Letter") to the Issuer urging the board of directors of the Issuer to consider certain restructuring and reform proposals described in the letter, or, if the board is unwilling to undertake the recommended changes, to engage in a sale process to maximize value for shareholders. The September 7 Letter also requests that the board of directors communicate publicly to all Autobytel shareholders the results of the board's consideration of the alternatives presented in the letter by September 21, 2006. A copy of the September 7 Letter is filed herewith as Exhibit 1 and incorporated herein by reference.
