Item 2.02      Results of Operations and Financial Condition.

On March 13, 2009, Ebix, Inc. issued a press release announcing its results of operations for both its fiscal quarter and its full year ended December 31, 2008.  A copy of the related press release is being filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference in its entirety.
