Item 5.03 Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.

On September 9, 2010, Bond Laboratories, Inc. (the "Company") filed a Certificate of Amendment to its Certificate of Incorporation to increase the number of authorized shares of its Common Stock from 75.0 million to 150.0 million (the "Amendment"). The Amendment was approved by a majority of the Company's shareholders entitled to vote, at the Company's Annual Meeting of shareholders held on August 26, 2010. A copy of the Amendment is attached to this Current Report on Form 8-K as Exhibit 3.1. The effective date of the Amendment is September 9, 2010.
