(e) Compensatory Arrangements of Certain Officers
On July 31, 2014, the Compensation Committee of the Board of Directors (the Committee) of Springleaf Holdings, Inc. (the Company) adopted and approved the Annual Leadership Incentive Plan (the Incentive Plan) for certain executive officers, including the Companys named executive officers, effective January 1, 2014.
The Incentive Plan is designed to assist the Company in (i) attracting, retaining, and motivating executive leaders and (ii) aligning participants interests with those of the Companys stockholders. The Committee will evaluate the performance of the executive officers pursuant to the terms and conditions of the Incentive Plan.
The Incentive Plan is administered by a committee, consisting of two outside directors as defined in the Incentive Plan (the Incentive Plan Committee), who will have the authority to determine the terms and conditions of award payments based on the achievement of performance goals applicable during the performance period. The Incentive Plan Committee may modify an award payment, including a reduction or elimination of the payment, if determined appropriate. Certain payments may become vested before a Performance Period has been completed in the event of a change in control, as defined in the Incentive Plan.
