Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
 
On December 1, 2006, the Compensation Committee of the Board of Directors of Ford Motor Company (the "Company") approved amendments to the Company's Deferred Compensation Plan that would allow any participating active employee to elect to change the method and/or timing to receive a distribution under the plan in accordance with existing governmental guidance under Section 409A of the Internal Revenue Code of 1986, as amended (the "Code"), provided that an election to make such a change is made by such participant on or before December 31, 2006. In addition, the amendments provide that on and after December 1, 2006, all deferrals under the plan shall be subject to Section 409A of the Code.
