Item 8.01 Other Events.

On March 13, 2014, MDU Resources Group, Inc. (the "Company") issued a press release announcing its indirect wholly owned subsidiary, Fidelity Exploration & Production Company, closed March 6, 2014, on the purchase of oil and natural gas production assets in Converse County, Wyoming, in the southern Powder River Basin, with an effective date of October 1, 2013.
