Item 2.02                      Results of Operations and Financial Condition
 
On March 9, 2010, Stage Stores, Inc. (the “Company”) issued a News Release announcing its financial results for the fourth quarter and for the fiscal year 2009.  Additionally, the Company provided first quarter and full year 2010 sales and earnings guidance.  A copy of the News Release is attached to this Form 8-K as Exhibit 99.
