ITEM 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 1, 2005, the Board of Directors of the Company appointed a new director and member of the Audit Committee, Paul C. Reilly, such appointment to be effective on January 2, 2006. Mr. Reilly has invested funds through affiliates of the Company on substantially the same terms and conditions as unaffiliated third parties, and may do so in the future.
