(b)  Frederick E. Crispin, Jr. retired from the Board of
     Directors of First Keystone Corporation (the "Corporation")
     and The First National Bank of Berwick (the "Bank"), the
     Corporation's wholly-owned subsidiary, effective December
     26, 2006.  Mr. Crispin served as a director of the
     Corporation since 1983 and of the Bank since 1964.
