Item 7.01 Regulation FD Disclosure.

    On January 26, 2010, Chesapeake Energy Corporation issued a press release announcing the closing of its Barnett Shale joint venture transaction with Total E&P USA, Inc.  Chesapeake sold a 25% interest in its upstream Barnett Shale assets.  The press release is furnished herewith as Exhibit 99.1 to this Current Report.
