TURKCELL CANCELLED US$3 BILLION SYNDICATED LOAN FACILITY

Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

Special Subjects:

As previously announced Turkcell signed an agreement for a US$3 billion unsecured syndicated financing through a committed facility on February 26, 2007.

While Turkcell continues to evaluate international investment opportunities, Company does not foresee any immediate financing need for a particular project within the time frame which the committed facility is made available. Therefore, Company has decided to cancel the facility at this time and potentially to reinitiate its efforts for a financing arrangement in the future, in case of need.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavors to collect the complete and true related information and that we assume the responsibility for this disclosure.
