As general partner of Grace, Spurgeon may be deemed beneficial owner of 3,315,482 shares of Common Stock, or 22.2% of the outstanding shares of Common Stock, although they otherwise disclaim beneficial ownership. As general partner of Grace, Whitmore may be deemed beneficial owner of 3,315,482 shares of Common Stock, and 25,815 shares of Common Stock as direct beneficial owner, or 22.4% of the outstanding shares of Common Stock.
