Provident Financial Holdings, Inc. (the "Corporation") announced on October 29, 2004 that the Company's Board of Directors declared a quarterly cash dividend of $0.14 per share on the Corporation's outstanding shares of common stock Shareholders of record at the close of business on November 23, 2004 will be entitled to receive the cash dividend. The cash dividend will be payable on December 17, 2004. The press release announcing the dividend is attached as Exhibit 99.1 and incorporated by reference herein.

ANNOUNCES FORTY PERCENT INCREASE IN CASH DIVIDEND
Riverside, Calif. - October 29, 2004 - Provident Financial Holdings, Inc. ("Company"), Nasdaq: PROV, the holding company for Provident Savings Bank, F.S.B., today announced that the Company's Board of Directors declared a quarterly cash dividend of $0.14 per share, an increase of $0.04 per share, or 40 percent. Shareholders of the Company's common stock at the close of business on November 23, 2004 will be entitled to receive the cash dividend. The cash dividend will be payable on December 17, 2004.
