course issuer bid to purchase for cancellation up to 28 million common shares, or approximately 5.3%, of the approximately 524,470,490 outstanding common shares of the Company not held by its insiders on July 10, 2006. | |
The price CN will pay for any common shares will be the market price at the time of the purchase, plus brokerage fees. | |
The share buy-back program starting July 25, 2006 and ending no later than July 24, 2007 will be conducted through the facilities of the Toronto Stock Exchange and New York Stock Exchange and will conform to the exchanges regulations. | |

CN announces new share repurchase program, declares third-quarter 2006 dividend
MONTREAL, July 20, 2006 CN announced today that its Board of Directors has authorized a normal course issuer bid to purchase for cancellation up to 28 million, or approximately 5.3 per cent, of the common shares outstanding of the Company not held by its insiders on July 10, 2006. Approximately 526 million CN common shares were issued and outstanding on that date.
The price CN will pay for any common shares will be the market price at the time of purchase, plus brokerage fees.
CN recently ended a share repurchase program, announced in July 2005, under which it repurchased 30 million common shares at an average price of C$46.26 per share.
The new repurchase program starting July 25, 2006, and ending no later than July 24, 2007 will be conducted through the Toronto and New York stock exchanges and will conform to their regulations.
CNs management and directors believe that the purchase by the Company of its shares represents an appropriate use of its funds to increase shareholder value. Having a strong balance sheet and solid cash flow generation, CN can undertake the offer while continuing to pursue other opportunities.
CN also announced today that its Board of Directors has approved a third-quarter 2006 dividend on the Companys common shares outstanding. A quarterly dividend of sixteen-and-one-quarter cents (C$0.1625) per common share will be paid on Sept. 29, 2006, to shareholders of record at the close of business on Sept. 8, 2006.
