Item 5.02 Departures of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

     As previously announced, following the acquisition by Ultra Clean Holdings, Inc. (“Ultra Clean”) of Sieger Engineering, Inc. on June 29, 2006, Leonid Mezhvinsky was appointed President of Ultra Clean. On August 11, 2006, Clarence Granger resigned from his position as President of Ultra Clean. Mr. Granger retains his position as Chief Executive Officer of Ultra Clean.
