EXPLANATORY NOTE
This Amendment No. 5 amends and supplements the Tender Offer Statement on Schedule TO
originally filed with the Securities and Exchange Commission (the SEC) on August 3, 2009, as
previously amended (the Schedule TO) by MKS Instruments, Inc. (the Company), wherein the
Company offered to exchange certain outstanding eligible option grants for restricted stock units,
on the terms and subject to the conditions described in the Offer to Exchange Certain Stock Options
for Restricted Stock Units (the Exchange Offer) dated August 3, 2009.
This Amendment No. 5 is made to report the results of the Exchange Offer. The information in
the Schedule TO, including all schedules, annexes and amendments to the Schedule TO, which were
previously filed on August 3, 2009, August 12, 2009, August 17, 2009, August 20, 2009 and August
28, 2009, is incorporated herein by reference to answer the items required in this Schedule TO,
except that such information is hereby amended and supplemented to the extent specifically provided
in this Amendment. Except as specifically set forth herein, this Amendment does not modify any of
the information previously reported on the Schedule TO.
Item 4. Terms of the Transaction.
Item 4(a) of the Schedule TO is hereby amended and supplemented by adding the following:
The Exchange Offer expired at 11:59 pm, Eastern time, on Friday, August 28, 2009. Eligible
employees tendered, and the Company accepted for cancellation, eligible options to purchase an
aggregate of 1,335,069 shares of the Companys common stock,
representing approximately 92% of the total shares of
common stock underlying options eligible for exchange in the Exchange Offer. The Company has
granted RSUs representing 189,019 shares of the Companys common stock in exchange for the
cancellation of the tendered eligible options.
