(e) On September 29, 2009, the Board of Directors of Dawson Geophysical Company (the “Company”), preliminarily set the fiscal 2010 allocation for the Company’s Profit Sharing Plan at 5% of the Company’s pre-tax income.

     A description of the Profit Sharing Plan is incorporated by reference from Exhibit 10.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on September 29, 2008.
