On December 9, 2009, NII Holdings, Inc. (the “Company”) issued a press release pursuant to
Rule 135c under the Securities Act of 1933, as amended, that announced a proposed private offering
of senior notes issued by its wholly owned subsidiary, NII Capital Corp., and guaranteed by the
Company and its other United States subsidiaries. A copy of the press release is being filed as an
exhibit to this report and is incorporated by reference into this Item 8.01.
